1. Legal Nature of This Agreement
These Terms of Use constitute a legally binding contract between Renaid Solutions LLP and any individual or entity that accesses, browses, registers, subscribes to, integrates with, uploads data to, or otherwise uses DrugSetu.
By any form of access or use, including visiting the website, creating an account, using the API, uploading or managing data, or displaying DrugSetu data publicly, you irrevocably agree to be bound by these Terms.
If you do not agree, you must immediately stop using the Platform.
2. Incorporation by Reference and Contract Hierarchy
These Terms incorporate the Privacy Policy, Refund and Cancellation Policy, Cookie Policy, API documentation, pricing pages, dashboards, notices, and guidelines published by DrugSetu.
In case of conflict, the order of precedence is: these Terms of Use, any written agreement signed by Renaid Solutions LLP, and then other policies or documentation.
3. Definitions
- Data means all drug, product, healthcare, and pharmaceutical information, including names, compositions, strengths, pack sizes, MRPs, classifications, barcodes, images, metadata, indexes, and related content.
- API Data means any data returned via the DrugSetu API.
- Pharma Partner means any pharmaceutical, nutraceutical, medical device, or healthcare company uploading data.
- Derived Data means any dataset, database, model, or output created using DrugSetu data as a source.
- Public Display means any display accessible to customers, patients, end users, or the public.
4. Eligibility, Authority and Representations
- You are 18 years or older.
- You have legal capacity to contract.
- You are not prohibited by law from using the Platform.
- If acting on behalf of an organisation, you have full authority to bind it.
- Any false representation constitutes a material breach.
5. Nature of the Platform
DrugSetu is a healthcare data infrastructure and standardization platform.
DrugSetu is not a pharmacy, medical service provider, clinical decision system, diagnostic or treatment platform, or regulatory authority.
DrugSetu does not verify clinical or therapeutic correctness and does not certify regulatory approval.
6. Medical, Pharmaceutical and Clinical Disclaimer
All Data is provided strictly for informational and reference purposes only.
- DrugSetu does not provide medical or pharmaceutical advice.
- DrugSetu does not recommend or substitute medicines.
- DrugSetu does not prescribe treatments or dosages.
- DrugSetu does not confirm drug suitability, safety, or regulatory approval status.
- You must not use DrugSetu data for diagnosis, treatment decisions, emergency care, or real time clinical judgment.
- All reliance is entirely at your sole risk.
7. Assumption of Risk and No Reliance
- Your use of the Platform involves inherent medical, regulatory, commercial, and technical risks.
- You assume all such risks knowingly and voluntarily.
- You agree not to rely on DrugSetu data for any medical, clinical, regulatory, or commercial decision.
- Any reliance by you or third parties is unreasonable and at your own risk.
8. No Professional or Fiduciary Relationship
Use of DrugSetu does not create a doctor patient relationship, pharmacist patient relationship, advisor client relationship, or fiduciary duty of any kind.
9. Accounts, Credentials and Security
- You are solely responsible for account credentials and API keys.
- You are solely responsible for all activity under your account.
- Loss, misuse, or compromise of credentials is entirely your liability.
10. Active Monitoring and Surveillance Disclosure
- DrugSetu logs API requests and responses.
- DrugSetu monitors traffic and usage patterns.
- DrugSetu detects scraping, abuse, or circumvention.
- DrugSetu uses automated and manual enforcement systems.
- No expectation of privacy exists in platform usage logs.
11. API License
DrugSetu grants you a limited, revocable, non exclusive, non transferable license to access the API solely as permitted by these Terms. This is not a sale of data.
12. Absolute Data Usage Prohibitions
- You may not store, cache, persist, archive, log, back up, or retain API Data in any form. Only transient, in memory, real time display is permitted.
- You may not bulk download data, replicate or mirror databases, or reverse engineer structures.
- You may not create Derived Data, train AI or ML models, or build competing datasets or APIs.
- You may not resell, sublicense, share data, provide third party access, or publish bulk exports.
- Any violation constitutes a material breach.
13. Public Display Requirement
If you publicly display DrugSetu data, you must display the following disclaimer verbatim:
“Information sourced from DrugSetu is for informational purposes only. DrugSetu standardizes data but does not guarantee accuracy. Consult healthcare professionals for medical decisions.”
Failure to display this disclaimer constitutes a breach.
14. Pharma Partner Terms
- Pharma Partners retain ownership of uploaded data.
- Pharma Partners bear full responsibility for accuracy, legality, and regulatory compliance.
- Pharma Partners grant DrugSetu a perpetual, irrevocable, worldwide, royalty free license to host, modify, standardize, display, and distribute uploaded data.
- Pharma Partners indemnify DrugSetu against regulatory actions, consumer claims, mislabeling, IP infringement, and product withdrawals.
15. No Endorsement or Certification
DrugSetu does not endorse products, certify manufacturers, approve drugs, or validate claims. Any implication otherwise is prohibited.
16. Payment, Billing and No Refund Policy
All payments are final, non refundable, and non reversible, with no exceptions.
17. Termination Without Notice
DrugSetu may suspend or terminate access without notice, explanation, or refund, including to mitigate legal or regulatory risk.
18. Survival of Obligations
IP rights, data licenses, disclaimers, indemnities, liability limitations, and jurisdiction clauses survive termination.
19. Enterprise Grade Indemnification
You agree to fully indemnify, defend, and hold harmless Renaid Solutions LLP and its officers, employees, partners, and affiliates from any and all claims, including medical, regulatory, consumer, third party, data misuse, or security related claims, even if DrugSetu is named as a co defendant.
20. Limitation of Liability
- To the maximum extent permitted by law, DrugSetu is not liable for indirect or consequential damages.
- DrugSetu is not liable for medical outcomes.
- Total liability is capped at fees paid in the last 12 months.
- Liability caps do not apply to your indemnity obligations.
21. Force Majeure
DrugSetu is not liable for failures caused by internet outages, cloud failures, government orders, regulatory shutdowns, or natural disasters.
22. Severability, Waiver and Assignment
- If any provision is held invalid, the remainder remains enforceable.
- Failure to enforce any right does not constitute waiver.
- DrugSetu may assign these Terms to any successor or affiliate.
23. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Courts of Ahmedabad, Gujarat have exclusive jurisdiction.
